Welcome to Lead Lock. By applying for and using our automated lead response service, you agree to these Terms of Service. Please read them carefully.
1. Service Description
Lead Lock provides automated lead response services for HVAC, plumbing, and electrical contractors. Our service includes:
- Automated lead response in under 90 seconds
- Integration with your lead sources (HomeAdvisor, Angi, Google, Facebook, etc.)
- Custom response templates in your voice
- Lead qualification based on your criteria
- Calendar integration for automatic appointment booking
- 24/7 monitoring and response
2. Pricing & Payment
Investment Structure:
- Setup Fee: $1,500 total, paid in two parts — a $500 deposit at signing and a $1,000 balance due only at go-live
- Monthly Subscription: $697/month, beginning 30 days after go-live
2.1 Payment Terms
- The $500 setup deposit is due upon application submission. It covers carrier registration, number provisioning, and the start of the build, and is non-refundable
- The $1,000 setup balance is invoiced only after go-live is confirmed in writing. If the system never goes live, this amount is never charged
- Monthly subscription charges begin 30 days after your go-live date
- Monthly fees are billed automatically on the same day each month
- All payments are processed via Stripe
- You are responsible for maintaining valid payment information
2.2 Failed Payments
If a monthly payment fails:
- We will attempt to process payment 3 times over 7 days
- Service may be paused if payment cannot be processed
- You will be notified via email and given opportunity to update payment method
- Service resumes immediately upon successful payment
3. Implementation Timeline
3.1 Standard Timeline
- Day 0: Application submitted and $500 deposit confirmed
- Day 1: Kickoff call scheduled (30 minutes)
- Week 1: Integration with lead sources and template building
- Week 2: Testing, training, and final adjustments
- Day 10: Go-live (typical timeline). $1,000 balance invoiced after go-live is confirmed in writing
3.2 Timeline Delays
Implementation timeline may be extended if:
- You are unavailable for the kickoff call within 7 days of application
- Required access to lead platforms is delayed
- Technical issues with third-party integrations occur
- Additional customization is requested beyond standard scope
4. Your Responsibilities
4.1 Required Access
You agree to provide:
- Login credentials or API access to all lead platforms
- Access to your Google Calendar or scheduling system
- Business information (pricing, service areas, availability)
- Timely responses during implementation (within 48 hours)
4.2 Accurate Information
- All information provided in your application must be accurate
- You must update us if your business information changes
- You are responsible for keeping your contact information current
4.3 Compliance
- You must comply with all laws and regulations in your jurisdiction
- You are responsible for honoring appointments booked through Lead Lock
- You must maintain professional communication with leads
5. Our Responsibilities
5.1 Service Delivery
We commit to:
- Respond to qualified leads in under 90 seconds
- Monitor all connected lead sources 24/7
- Maintain system uptime of 99%+
- Provide ongoing technical support
- Keep your data secure and confidential
5.2 Service Limitations
We are not responsible for:
- Downtime of third-party platforms (HomeAdvisor, Angi, Google, etc.)
- Lead quality from your lead sources
- Your close rate or business performance
- Missed appointments or customer service issues
- Changes to third-party APIs or terms of service
6. Cancellation & Termination
6.1 Your Right to Cancel
- You may cancel your subscription at any time
- Cancellation takes effect at the end of your current billing period
- No refunds for partial months
- The $500 setup deposit is non-refundable. The $1,000 setup balance is not charged unless and until the system goes live, and is non-refundable once it has
6.2 Our Right to Terminate
We may terminate service if:
- You violate these Terms of Service
- Payment fails repeatedly
- You use the service for illegal or unethical purposes
- You harass or abuse our support staff
7. Delivery Commitment
Our Promise: You are not asked to pay for the build before it exists. The $1,000 setup balance is charged only after your system is live and has handled a real call. If we cannot deliver a working system, that balance is never billed.
7.1 Go-Live Definition
Go-live is a specific, observable event, not a judgment call. All of the following must be true:
- The system is connected to your business phone number
- A missed call to that number triggers the automated text-back
- The customer's reply is captured and forwarded to you
- The event is logged and can be shown to you
We confirm go-live with you in writing before the balance is invoiced.
7.2 14-Day Delivery Promise
- If your leads are not responding through the system within 14 days of kickoff, we continue working at no additional charge until they are
- The setup balance is not invoiced and monthly billing does not begin until go-live
- If you block go-live by not providing required access to your phone number, calendar, or lead sources, or by not attending kickoff, the 14-day clock pauses until you do

8. Intellectual Property
8.1 Our Property
- Lead Lock name, logo, and branding are our property
- The automation system and technology are proprietary
- You may not reverse engineer or copy our system
8.2 Your Property
- Your business data, leads, and customer information remain yours
- Response templates are customized for you but built on our platform
- You retain ownership of all your business intellectual property
9. Data & Privacy
We take your privacy seriously:
- We only collect data necessary to provide the service
- Your customer data is never shared or sold
- We maintain industry-standard security practices
- You can request data deletion upon cancellation

10. Messaging Terms (SMS)
10.1 Program Description
Lead Lock operates an automated text-messaging program on behalf of its contractor clients. When someone calls a client's business phone number and the call goes unanswered, Lead Lock sends an automated text message to the caller on that business's behalf, and an alert text to the business owner.
10.2 Consent
By calling (929) 329-3014, you agree to receive an automated text message reply at the number you called from, if your call goes unanswered. Message frequency is typically one message per unanswered call. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help.
The same applies to any business number operated through Lead Lock on behalf of a client: placing the call is the opt-in. Lead Lock does not send messages to numbers that have not initiated contact, and does not buy, rent, or sell phone numbers for messaging purposes.

10.3 Message Frequency and Charges
Message frequency varies based on call activity, typically one message per unanswered call. Message and data rates may apply. Your mobile carrier is not liable for delayed or undelivered messages.
10.4 Opt-Out and Help
Reply STOP at any time to opt out of messages from that number. Reply START to opt back in. Reply HELP for assistance, or contact leads@leadlockai.net or 929.930.3841.
10.5 Client Obligations
Clients using Lead Lock agree to use the messaging service only to respond to inbound calls placed to their own business, to honor every opt-out request, and to comply with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles and Best Practices, and all applicable state and federal law. Clients may not use Lead Lock to send unsolicited marketing, promotional blasts, or messages to purchased lists. Violation is grounds for immediate termination without refund.
10.6 Supported Carriers
Supported carriers include AT&T, Verizon Wireless, T-Mobile, Boost Mobile, U.S. Cellular, MetroPCS, Cricket, and others. Carriers are not liable for delayed or undelivered messages.
11. Limitation of Liability
11.1 Service Disclaimer
Lead Lock is provided "as is" without warranties of any kind. We do not guarantee:
- Specific lead volume or quality
- Specific close rates or revenue increases
- Uninterrupted or error-free service
- Compatibility with all third-party platforms
11.2 Liability Limits
- Our total liability is limited to fees paid in the past 3 months
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for lost profits or business opportunities
- Some jurisdictions don't allow these limitations, so they may not apply to you
12. Market Exclusivity
To protect the competitive advantage:
- We limit service to 3 contractors per market area per service type
- Your market area is defined as your primary service ZIP codes
- If your area is full, you may be placed on a waitlist
- This policy may change with 30 days notice
13. Changes to Terms
- We may update these Terms of Service with 30 days notice
- Notice will be sent via email to your registered address
- Continued use of service after changes constitutes acceptance
- Material changes (pricing, core features) require explicit consent
14. Dispute Resolution
14.1 Informal Resolution
Before taking legal action, you agree to:
- Contact us at leads@leadlockai.net
- Provide detailed description of the issue
- Work with us in good faith to resolve the matter
- Allow 15 business days for resolution
14.2 Governing Law
- These terms are governed by New York State law
- Any disputes will be resolved in New York courts
- You waive the right to jury trial
- You waive the right to class action lawsuits
15. Miscellaneous
15.1 Entire Agreement
These Terms, along with our Refund Policy and Privacy Policy, constitute the entire agreement between you and Lead Lock.
15.2 Severability
If any provision is found invalid, the remaining provisions remain in full effect.
15.3 Assignment
You may not transfer your account or service to another party without our written consent.
15.4 Force Majeure
We are not liable for failures due to events beyond our reasonable control (natural disasters, internet outages, pandemics, etc.).
